Terms of Services
By accepting the Terms of Service (“Terms”), Client agrees that they have read and agree to all the Terms. If an individual is engaging True North ELO LLC DBA CareForce Recruiter for services on behalf of an entity (i.e., corporation, LLC, partnership, etc.), the individual represents and warrants they have the legal authority to bind the entity. Before Client continues, Client should print or save a copy of these Terms.
Transmission of Information / Location of Work
Client specifically authorizes True North ELO LLC DBA CareForce Recruiter to use unencrypted email, faxing, and cellular telephones in addition to standard mail, overnight mail, messenger, and all other forms of communications that may or may not be privileged. Most of CareForce Recruiter’s work is digitized and handled through internet connections. Client acknowledges and agrees that True North ELO LLC DBA CareForce Recruiter can perform Client’s work from any place in the world.
Billing and Payment
You are responsible for payment of all charges for any services performed by True North ELO LLC DBA CareForce Recruiter. All payments made are nonrefundable. You hereby agree to authorize True North ELO LLC DBA CareForce Recruiter to charge your credit card for the monthly charges based on the work completed and as mentioned on the invoice. You also agree that you are responsible for the payment for all charges that survive any termination of this agreement. If your invoice is not paid before the due date due to a failure in the credit card acceptance, a late fee of $25 per month will be applied to your account.
Term and Termination
This agreement can be terminated at any time by either party with a 30-day written notice. True North ELO LLC DBA CareForce Recruiter reserves the right to increase any of its rates or charges at any time by giving thirty (30) days written notice. If you fail to pay any bill within ten (10) days of its due date, True North ELO LLC DBA CareForce Recruiter may restrict or terminate its services to you without written notice. You agree not to use the services provided for any unlawful purpose and only in accordance with these terms. True North ELO LLC DBA CareForce Recruiter may immediately restrict or terminate service without notice for any violation thereof.
Dispute Resolution
You agree to send True North ELO LLC DBA CareForce Recruiter a written notice of any dispute on your invoice within thirty (30) days after the statement date, or such statement shall be deemed to be correct and payable in full. You agree to provide detailed information regarding any dispute and to cooperate in investigating disputed matters. If True North ELO LLC DBA CareForce Recruiter initiates legal proceedings to collect any amount due and substantially prevails, you agree to pay all associated costs and reasonable attorney’s fees. You waive any and all rights to a jury trial in connection with any such proceedings.
Limitations of Liability
True North ELO LLC DBA CareForce Recruiter does not warrant that the service is error-free or will operate without delays or interruptions. It is not responsible for transmission errors, data corruption, or information security over telecommunication services.
No express or implied warranties, including merchantability or fitness for a particular purpose, are made. You agree that True North ELO LLC DBA CareForce Recruiter shall not be liable for lost profit, special, indirect, or consequential damages due to service delays, inadequacies, or deficiencies. You will continue to pay all charges due under this agreement regardless of any such claims or losses.
Your sole remedy, at True North ELO LLC DBA CareForce Recruiter’s discretion, will be either: (1) correction of the failure, or (2) a refund of the monthly charge for the affected period.
Related Activities / Indemnification / Limitation of Liability
If any claim is brought against True North ELO LLC DBA CareForce Recruiter or its personnel related to work performed for the Client, or if testimony or confidentiality defense is required, Client agrees to pay for incurred costs, legal fees, and standard hourly charges. True North ELO LLC DBA CareForce Recruiter is not liable for any indirect, incidental, lost profits, or consequential damages. Total liability shall not exceed the fees paid by Client in the three (3) months preceding the claim.
Software
Client must own valid licenses for all software used on True North ELO LLC DBA CareForce Recruiter systems. Licenses must be current and support all intended users. True North ELO LLC DBA CareForce Recruiter may request license verification at any time. If not provided, True North ELO LLC DBA CareForce Recruiter may purchase the required licenses at Client’s expense or terminate services. Client indemnifies True North ELO LLC DBA CareForce Recruiter against legal fees and penalties from software audits. Upon service termination, software is not provided, but related data files will be made available in their current form.
Employees and Contractors
Client agrees not to hire any current or former True North ELO LLC DBA CareForce Recruiter employees or associates for thirty-six (36) months following termination of representation without prior written consent. If hired, Client agrees to pay True North ELO LLC DBA CareForce Recruiter 35% of the first year’s total compensation.
Confidential Information
True North ELO LLC DBA CareForce Recruiter may have access to Client’s proprietary data such as financials and account information. It agrees not to disclose such information or use it for any purpose other than fulfilling its service obligations.
Direct Competitor(s) and Conflicts
Client agrees that True North ELO LLC DBA CareForce Recruiter may work with competitors, affiliates, or associated parties during or after engagement without disclosure. All conflicts are waived by the Client.
Document Retention and Destruction
Unless otherwise agreed, True North ELO LLC DBA CareForce Recruiter assumes Client retains document copies. If Client does not request materials within one year after engagement ends, True North ELO LLC DBA CareForce Recruiter may destroy them without notice.
Force Majeure
True North ELO LLC DBA CareForce Recruiter is not liable for delays or failures due to events beyond its control, including natural disasters or government actions.
Law / Venue / Waiver of Jury Trial
West Virginia law governs these Terms. All disputes must be resolved in Hancock County, WV. Both parties waive the right to a jury trial, where legally permitted.
Entire Agreement / Amendment / Severability / Waiver / Signatures
These Terms constitute the full agreement. No other oral or written agreements apply. Terms may only be amended by True North ELO LLC DBA CareForce Recruiter. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce any term does not waive future enforcement. Email or faxed copies are considered legally binding.
